1. Service Description
Graphcoder is an AI-powered coding agent provided by Acyclic Labs. The service includes a local application and a cloud component that processes AI queries through third-party language model providers.
2. Accounts
You may sign in using Google or GitHub OAuth. You are responsible for maintaining the security of your account. You must provide accurate information when creating an account.
3. Usage Limits and Billing
Graphcoder offers free and paid subscription tiers with weekly usage limits measured in AI compute costs. Usage limits reset every Monday at 00:00 UTC. When your weekly limit is reached, AI features are paused until the next reset. Local features remain available.
Paid subscriptions are billed monthly through our payment partner, Polar. You may cancel your subscription at any time. Upon cancellation, you retain access to your paid tier until the end of your current billing cycle, after which you revert to the free tier.
We collect pseudonymous usage analytics (model, provider, token counts, request cost, latency, tool call count) to monitor and improve the service. This data never includes your code, prompts, or conversation content. Free-tier users contribute analytics as part of the service; paid subscribers may opt out on the dashboard. 4. Acceptable Use
You agree not to:
- Use the service for any unlawful purpose
- Attempt to circumvent usage limits or authentication
- Reverse engineer or extract the service's proprietary components
- Share account credentials with others
- Use the service to generate malicious code, exploits, or malware
5. No Training on Your Data
Your inputs, code context, and conversation data are never used to train or improve AI models. Data is processed solely to generate responses to your queries.
6. Your Code and Data
Your codebase remains on your machine. When you use AI features, conversation context and workspace metadata (such as directory structure and project files) are transmitted to our servers and forwarded to language model providers for processing. Your source code is never stored on our servers — it is used only in transit to generate a response and is discarded immediately after. You retain all rights to your code.
7. AI-Generated Output — Disclaimer of Warranties
THE SERVICE AND ALL AI-GENERATED OUTPUT (INCLUDING CODE, SUGGESTIONS, AND ANALYSIS) ARE PROVIDED "AS-IS" AND "AS-AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, OR NON-INFRINGEMENT.
You acknowledge and agree that:
- AI-generated output may contain errors, bugs, security vulnerabilities, or inaccuracies
- AI-generated code may inadvertently reproduce copyrighted or patented material
- You are solely responsible for reviewing, testing, and validating all AI output before use
- Acyclic Labs does not guarantee that output is correct, secure, complete, or fit for any purpose
- Acyclic Labs is not responsible for any consequences arising from your use of AI-generated output, including but not limited to data loss, security breaches, system failures, intellectual property claims, or any other damages
8. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted service. The service depends on third-party providers (including language model APIs and cloud infrastructure) whose availability is outside our control. The service may be temporarily unavailable for maintenance, updates, or due to circumstances beyond our control.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACYCLIC LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, OR GOODWILL, WHETHER INCURRED DIRECTLY OR INDIRECTLY, REGARDLESS OF THE THEORY OF LIABILITY.
IN NO EVENT SHALL ACYCLIC LABS' TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNTS YOU HAVE PAID TO ACYCLIC LABS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IF YOU HAVE NOT PAID ANY FEES, OUR MAXIMUM LIABILITY IS £50.
Nothing in these terms excludes or limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.
10. Indemnification
You agree to indemnify, defend, and hold harmless Acyclic Labs and its officers, directors, and employees from any claims, damages, losses, or expenses (including legal fees) arising out of or related to your use of the service, your violation of these terms, or your use of AI-generated output.
11. Governing Law
These terms are governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over any dispute arising out of or in connection with these terms.
12. Changes to Terms
We may update these terms from time to time. We will notify you of material changes by posting the updated terms on this page with a revised date. Continued use of the service after changes constitutes acceptance. For material changes, we will provide at least 30 days' notice.
